Reporting Requirements Clause Overview

A reporting requirements clause spells out what information one party must regularly share with the other, such as financial statements, progress updates, or compliance certifications, and how often and in what format.

It's common in lending agreements, joint ventures, and franchise or licensing arrangements where one party needs ongoing visibility into the other's performance or financial condition to monitor risk.

Check the frequency and deadlines (monthly versus quarterly, and how many days after period-end), what format or certification is required, and what happens if a report is late. Some agreements tie missed reporting to a broader default.
