Assignment Clause Overview
An assignment clause states whether, and under what conditions, a party can transfer its rights or obligations under the contract to someone else, commonly requiring the other party's prior written consent.
It's included because a contract is often signed based on trust in, or the specific capabilities of, the particular counterparty, so most parties want some control over who might step into that role later, especially if the business is sold or restructured.
Check whether consent can be "unreasonably withheld" or is entirely at the other party's discretion, and whether there are carve-outs allowing assignment without consent in specific situations, like a merger, acquisition, or transfer to an affiliate.

None of the parties hereto shall assign this Agreement or the rights and obligations hereunder, in whole or in part, without the prior written consent of Apollo; provided, however, that, without obtaining such consent, Apollo may assign this Agreement or its rights and obligations hereunder to any of its partners or members or their affiliates.
