Performance Obligations Clause Overview

A performance obligations clause lists the specific duties, tasks, or deliverables each party must actually carry out under the agreement, the operational core of what each side promised to do.

It exists to turn a general business relationship into enforceable, specific commitments, so both sides can point to exactly what was promised if a dispute arises about whether someone held up their end.

Vague performance language, like "use best efforts" or "in a timely manner," is a frequent source of disagreement. Check whether obligations are described with objective, measurable standards (deadlines, specifications, acceptance criteria) or left open to interpretation.
