A counterparts clause allows the same agreement to be signed in multiple separate copies, including by different parties on different documents or electronically, with all copies together treated as one single, original agreement.
It's a practical clause for situations where parties can't sign the same physical document together, letting each side sign its own copy, often now via electronic signature, without questioning the agreement's validity.
Most versions also confirm that electronic or scanned signatures count as originals, which is worth checking if the deal specifically needs wet-ink signatures for any regulatory or internal reason.
This Confidentiality Agreement may be executed in two or more counterparts, each of which will be considered one and the same agreement and will become effective when counterparts have been signed by each of the parties hereto and delivered to the other party (including by means of electronic delivery or facsimile).
