Modification Clause Overview
A modification clause specifies how the contract can be changed after signing, typically requiring any amendment to be in writing and signed by both parties to be valid.
It's included to prevent one side from later claiming that an email, a verbal conversation, or a course of conduct changed the deal, which protects the certainty of what was actually agreed.
Some courts still give weight to a consistent pattern of conduct even when a contract says changes must be in writing, so check whether the clause also addresses course-of-dealing or waiver by conduct, and keep any real modifications properly documented regardless.
